Terms and Conditions

These Terms govern your use of Kopyon. They describe what our software does, what it does not do, what you are paying for, and how risk is allocated between us. We have written them to reflect how the product actually behaves rather than to claim every protection the law might allow.

Kopyon is software that mirrors the trades of public leaderboard traders into your own exchange account. It is a tool you point at your own money. Much of this document is about the limits of that tool, because you are the one who bears the consequences when it reaches them.

By creating an account or using kopyon.com or app.kopyon.com, you agree to these Terms and to our Privacy Policy and Refund Policy, which form part of this agreement. If you do not agree, do not use Kopyon.

1. Who You Are Contracting With

Kopyon is operated by an individual, not by an incorporated company. Throughout these Terms, "Kopyon", "we", "us" and "our" refer to that operator. "You" refers to the person using the service.

We say this plainly because it affects you: there is no corporate entity standing behind the service, and you should size your reliance on Kopyon accordingly.

2. What Kopyon Is and What It Is Not

Kopyon is a subscription software service with three parts: a leaderboard of public futures traders assembled from exchange data, statistics and scoring computed from that data, and an execution engine that places orders in your own exchange account to mirror the traders you follow, according to settings you configure.

Kopyon is not, and does not hold itself out as, any of the following:

  • A broker, dealer, or exchange. We do not match, route, or execute trades on our own venue. Every order is placed into your account at your exchange, under your own agreement with them.
  • An investment adviser, financial adviser, or portfolio manager. Nothing in the product or on our website is a recommendation to buy, sell, or hold anything, and nothing is tailored to your circumstances. We do not know your circumstances.
  • A fund, pool, or managed account programme. We do not pool user money, we do not trade a strategy on your behalf, and we take no share of your profits or losses. Our only revenue from you is your subscription fee.
  • A custodian. We never hold, receive, or control your funds. Your money stays in your exchange account throughout.

The people whose trades you copy are not our employees, agents, partners, or advisers. They are third parties who published their activity on a public exchange leaderboard. We have no relationship with them, we do not vet them, and we cannot influence what they do next. Copying a trader is your decision alone.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract. Kopyon is not intended for anyone under 18 and we do not knowingly provide the service to minors.

You must not be a United States person, meaning a US citizen, US resident, or a person located in the United States or its territories. This is not our preference; it is a practical consequence of how the product works. Binance, Bybit, and OKX all bar US persons from futures trading, so a US user cannot connect an account that Kopyon can trade on, and a subscription would buy you nothing.

You must not be located in, ordinarily resident in, or accessing Kopyon from a comprehensively sanctioned jurisdiction, currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk and Luhansk regions of Ukraine. You must not be a person subject to sanctions administered by the United Nations, the European Union, the United Kingdom, or the United States.

You are responsible for the legality of what you do. Leveraged crypto derivatives are restricted or prohibited for retail users in many countries. Before subscribing, satisfy yourself that using Kopyon and trading futures is lawful where you live, and that you meet any eligibility rules your own exchange imposes. If it is not lawful for you, do not use Kopyon.

We do not verify any of this. We do not run identity checks, we do not collect your country of residence, and there is no geographic blocking in the product. The absence of a technical barrier is not permission. By using Kopyon you represent that the requirements in this section are true of you, and you accept the consequences if they are not.

4. Your Account

You need an account to use Kopyon. Authentication is handled by our provider, Clerk; we never see your password.

You agree to provide accurate information, to keep your credentials confidential, and to tell us promptly if you believe your account has been accessed without your permission. You are responsible for everything that happens under your account, including trades placed by the execution engine while someone else is using it. You can review and revoke your active sessions in your account settings.

One person, one account. Creating multiple accounts to work around plan limits is a breach of section 12.

5. Connecting Your Exchange

To copy trades, you give Kopyon an API key for your exchange account. Binance is currently the only exchange available for copy trading, though other venues appear in the interface and may be enabled later. You may connect up to ten exchange API keys.

We never withdraw or transfer your funds. No part of our system calls any withdrawal, transfer, or payout endpoint on any exchange. The execution engine reads your balances and positions, and it places, modifies, and cancels futures orders. That is the entire surface. Your funds never leave your exchange account by our hand.

Set your key permissions yourself. Create your API key with futures trading enabled and withdrawals disabled, and restrict it to Kopyon's outbound IP address, which we show you in the application. We cannot verify or enforce the permissions attached to your key. Our verification step only confirms that we can read your futures account; it does not tell us what else the key can do. If you issue a key with withdrawal rights, that risk is one you have created and retained.

Your exchange relationship is your own. Your account, your funds, your margin, your liquidations and your fees are governed by your agreement with your exchange, not by these Terms. We are not responsible for their downtime, their API changes, their rate limits, their margin calls, their delistings, or their decisions about your account.

How we store and protect your key is described in section 5 of the Privacy Policy.

6. How Copy Trading Works, and Where It Falls Short

This section matters more than any other. Read it before you subscribe.

Kopyon detects that a trader you follow has opened, changed, or closed a position, and then places a corresponding order in your account sized according to your settings. It is a best-effort mirror, not a guarantee of a matching outcome. Your fills, your entry prices, your position sizes, and your results will differ from the trader's, sometimes materially.

Timing. We learn about a trader's position by polling exchange leaderboard data at roughly 60-second intervals, not by receiving a live feed. A trade may therefore be mirrored up to about a minute after the trader made it, and longer if you have configured a copy delay of your own. In a fast market, a minute is a different price.

Order sizing. The quantity we submit is adjusted before it reaches the exchange to satisfy minimum notional, minimum amount, and precision rules, and it is capped downward to stay inside your exchange's leverage-bracket notional limits. Large orders are split into chunks, and a final chunk too small to submit is skipped. Your position size will frequently not be exactly what you configured.

Fills. Market orders fill at whatever the book offers. Limit orders may fill partially or not at all; if a limit order to open has not filled within its timeout, it is cancelled, and it falls back to a market order only if you have enabled that option, which is off by default. An open can therefore end up partially filled or not filled at all, while the trader you follow is fully in the position.

Slippage. We measure slippage against the trader's price and record it, but a market order is not rejected or unwound for exceeding your configured slippage limit. Treat that setting as reporting, not as a guard.

Leverage and margin mode. We attempt to set these when opening a position, and if the exchange refuses, we log the failure and open the position anyway. A position can open at the wrong leverage or in the wrong margin mode without the order failing.

Protective orders. If a stop loss or take profit order fails to place after your position has opened, the position remains open and unprotected. We record this, but we do not close the position for you.

Failures. Orders fail for reasons outside our control, including insufficient margin, a symbol your exchange does not list, an order the exchange rejects, a key without trading permission or blocked by IP restrictions, exchange downtime, and network faults. We retry a small number of times and then stop. Failed orders are recorded with their reason in your history.

Downtime. If our engine is unavailable, trades are not mirrored while it is down. It reconciles when it recovers, but positions opened and closed during an outage may be missed entirely, and instructions you issued during the outage expire unexecuted after a few minutes.

We do not guarantee that any particular trade will be copied, that it will be copied at any particular price or size, that it will be copied at all, or that a position will be closed when the trader closes theirs. Section 16 and section 17 govern our liability for all of the above.

7. Risk Controls: What Is Enforced and What Is Not

You can configure a number of limits. They are not equally strong, and you should know which is which.

Enforced at your exchange, and effective even if Kopyon is offline: stop loss and take profit. When you enable these, we place real stop and take-profit orders on the exchange. They live in your account and will trigger whether or not our software is running, subject to section 6 on placement failures.

Enforced by our software, and only while it is running: the maximum cost per order, symbol allowlists and blocklists, trade direction filters, the maximum entry price ceiling, and pausing new copies. These are checks the engine performs before submitting an order. If the engine is not running, no order is submitted, so nothing needs enforcing; but equally, none of these protects a position that is already open.

Not currently enforced at all: the maximum daily drawdown, the maximum number of open positions, the maximum daily copies, and the per-trader open position limit. These settings are stored and displayed, but no code acts on them today. There is no drawdown monitor and no automatic kill switch. Do not rely on them. We are telling you this because relying on a limit that does not exist is worse than having no limit at all, and any marketing material of ours suggesting otherwise is superseded by this paragraph.

The cost-per-order check uses your account balance as we last read it, which may be up to a minute stale.

8. Leaderboard Data and Trader Statistics

Our leaderboard is built from data that Binance and Hyperliquid publish about traders who opted into their public leaderboards. Those traders are generally not Kopyon users.

The performance figures we display are our own reconstruction, not the exchange's numbers. We take the published positions and run them through a simulation that subtracts modelled trading fees, so that what you see approximates what copying would actually have returned. Modelled fees are not your fees. Your exchange, your fee tier, your funding payments, your slippage, and your execution timing all differ, so your result from copying a trader will not match the figure shown next to that trader.

The Kopyon Score is a formula, not a forecast. It is a fixed-weight blend of six historical metrics: Sharpe ratio, win rate, realised and unrealised asymmetry, capital at risk, and holding time on losing trades. The blend is scaled to a range of −100 to +100. It is arithmetic applied to the past. It contains no prediction, no machine learning, and no opinion about what a trader will do next. A trader with fewer than twenty recorded trades scores zero, which means "not enough data", not "bad".

Past performance does not indicate future results. A trader's record, however long or however strong, tells you nothing reliable about tomorrow. Traders change strategy, increase size, take losses, stop trading, or blow up. Some of the best-looking records on any leaderboard belong to people taking risks that had not yet come due.

Data may be delayed, incomplete, or wrong, whether because an exchange published it that way, because a scrape failed, or because a trader stopped sharing. We do not warrant its accuracy. Whether a trader is available to copy depends on their score, their activity, and their sharing status, and we may add, remove, or disable any trader at any time.

9. Risk Disclosure and No Financial Advice

Nothing Kopyon provides is financial, investment, legal, or tax advice. The leaderboard, the statistics, the scores, the rankings, our website copy, and any communication from us are informational. They are not a recommendation, a solicitation, or an endorsement of any trader, strategy, or instrument. Do your own research, and take professional advice if you need it.

Trading leveraged crypto futures carries a substantial risk of loss. You should understand at least the following before you subscribe:

  • You can lose your entire balance, and you can lose it quickly. Leverage multiplies losses exactly as it multiplies gains.
  • You can be liquidated. If your margin falls below the exchange's maintenance requirement, your position will be closed by the exchange at whatever price is available. Kopyon does not prevent liquidation and cannot protect you from it.
  • Crypto markets are volatile, continuous, and thinly regulated. Prices can gap. Exchanges can halt, delist, or go down. Funding rates accrue against you.
  • Copying multiplies exposure. Following several traders can concentrate you in correlated positions far larger than you intended.

Trade only what you can afford to lose entirely. If a total loss of the funds in your exchange account would materially harm you, do not use Kopyon.

10. Plans, Payment, and Renewal

Plans. We offer a permanent free plan and two paid plans. Trader is $29 per 30-day period, or $264 for a 365-day period. Master is $79 per 30-day period, or $708 for a 365-day period. Your plan determines how many traders you may copy at once: one on Free, ten on Trader, unlimited on Master. Current plans and prices are on our pricing page, which prevails over this paragraph if they differ.

Note that a monthly period is 30 days, not a calendar month.

Payment is in cryptocurrency only, through our processor NOWPayments. Prices are quoted in US dollars and settled in the coin you choose from those we support. We never see or store your card or bank details, because there are none. An unpaid invoice expires after 60 minutes, and you may create a limited number of invoices in quick succession before we ask you to wait.

There is no auto-renewal, and nothing to cancel. We do not store a payment instrument and we cannot charge you. Your plan is a prepaid period with an expiry date. To continue, you pay again before it ends; to stop, you do nothing. We email you reminders 7 days, 3 days and 1 day before expiry.

Grace and lapse. If your period ends unpaid, your paid features continue for a 5-day grace period, after which your account moves to the Free plan. Nothing is deleted. Copy configurations beyond your new plan's limits are not removed, though you may not be able to add more until you are back within them.

Paying early stacks. If you pay before your current period ends, the new period is added to the end of the existing one; you do not lose the time you already bought.

Upgrades take effect when payment settles. You pay the new plan's full price immediately. The unused value of your current plan is converted into bonus days on the new one, rounded down to whole days, and the new period starts on payment rather than at your old expiry date. There is no cash proration and no refund of the old plan.

Downgrades take effect at the end of your current period. You are not charged today, you keep your current plan until it expires, and you receive no refund or credit for the difference. Your next invoice is priced at the lower plan. Once you have paid an invoice at the new plan's price, the scheduled change can no longer be cancelled. Until then you may cancel it freely.

Switching between monthly and annual changes only your stated preference and takes effect at your next payment. It does not charge you and does not change your expiry date.

Underpayment and overpayment. If your payment arrives short of the invoice amount, your plan is not activated, and the shortfall is recorded pending manual resolution. If you pay the same invoice twice, the second payment is not automatically credited. In both cases, contact support with your invoice number and we will resolve it by hand. Crypto payments are irreversible and we cannot claw them back from the network.

Prices may change. We will give notice of any increase, and a change will never affect a period you have already paid for.

Taxes. Prices exclude any tax that may apply where you live. You are responsible for your own tax position, including any tax arising from your trading.

We charge no performance fee, no commission, and no per-trade fee. Your subscription is the only money we take. Trading fees and funding are charged by your exchange, not by us.

11. Refunds

Refunds are governed by our Refund Policy, which forms part of these Terms.

Two operational points that follow from crypto-only payment: refunds are handled manually rather than automatically, so allow time for processing; and an approved refund is settled in USDT at the invoice's US dollar value, rather than in the coin and amount you originally sent. An approved refund ends your access to paid features.

Deleting your account does not entitle you to a refund of the period you have already paid for.

12. Acceptable Use

You agree not to:

  • Use Kopyon for any unlawful purpose, or in a way that breaches your exchange's terms, your local law, or applicable sanctions.
  • Use another person's exchange API key, or connect an account you are not entitled to trade.
  • Operate Kopyon as a managed-account, fund, or advisory service for other people, or otherwise trade third-party money through your account without being licensed to do so.
  • Resell, sublicense, or redistribute the service, or share one account across multiple people.
  • Create multiple accounts, or otherwise attempt to evade plan limits, rate limits, or payment.
  • Scrape, crawl, or automate access to our website or API beyond normal use of the application, or exceed our published rate limits (currently 120 requests per minute unauthenticated and 300 authenticated).
  • Redistribute, resell, or republish our leaderboard data, statistics, or scores as a dataset or competing product.
  • Reverse engineer, decompile, or attempt to derive the source of the service, except where that restriction is unenforceable by law.
  • Probe, scan, or test the security of our systems without written permission, or interfere with the integrity or performance of the service.
  • Submit false information, impersonate anyone, or misrepresent your eligibility under section 3.

We may investigate suspected breaches and take proportionate action, including rate-limiting, suspension, termination, and where warranted, reporting to the relevant authorities.

13. Availability, Changes, and Beta Features

Kopyon is provided on a best-effort basis with no uptime commitment. There is no service level agreement and no service credit for downtime, on any plan. We may rate-limit, throttle, suspend, or discontinue any feature, and we may perform maintenance without notice.

Parts of the service are in open beta and may behave unpredictably, change substantially, or be withdrawn. Any feature described as beta is provided as an experiment, and you should be more cautious with it, not less.

Feature descriptions are not promises. Where a plan is marketed with a capability that is not yet enforced or implemented, section 7 and this section govern: you are buying the service as it functions today, not as it is described aspirationally. If a capability is material to your decision, ask us before subscribing.

We may change the service, including the plans, limits, supported exchanges, traders available to copy, and the statistics we compute.

14. Intellectual Property

The Kopyon name, logo, website, application, source code, interface, scoring methodology, and the statistics and simulations we compute are ours, and are protected by intellectual property law. Nothing in these Terms transfers any of that to you. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the service for its intended purpose while your account is in good standing.

Content you supply (your configuration, your notes on traders, and messages you send us) remains yours. You grant us a licence to process it as needed to run the service and to support you.

Trader identities and the underlying leaderboard data belong to the traders and the exchanges that publish them. We claim no ownership of it, only of our compilation, computation, and presentation.

If you believe something on Kopyon infringes your rights, contact us at [email protected] with enough detail to identify the material and your claim, and we will review it.

15. Suspension, Termination, and Account Deletion

You may stop at any time. Stop paying and your plan lapses to Free; delete your account in your settings to leave entirely. Deletion immediately erases your stored exchange credentials, deactivates all your exchange connections, and stops all copy trading. Your account then enters a 14-day grace period during which you can cancel the deletion and keep your account. After that, your data is permanently deleted as described in the Privacy Policy. Payment records are retained, detached from your identity, for accounting purposes.

We may suspend or terminate your account for breach of these Terms, for suspected fraud or abuse, where required by law or sanctions, or where continuing to serve you would expose us to legal risk. Where it is reasonable and lawful to do so, we will tell you why and give you a chance to respond. For serious breaches we may act immediately.

Termination does not close your positions. If your access ends for any reason, any positions open in your exchange account remain open, and any exchange-native stop loss or take profit orders remain in place. They become yours to manage. We strongly recommend reviewing your exchange account immediately after your access ends.

Sections 2, 8, 9, 14, 16, 17, 18, 19 and 21 survive termination, along with any other provision that by its nature should.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THAT, KOPYON DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT ANY TRADE WILL BE COPIED, OR COPIED AT ANY PARTICULAR PRICE, SIZE, OR TIME; THAT ORDERS WILL BE PLACED, FILLED, OR CLOSED SUCCESSFULLY; THAT PROTECTIVE ORDERS WILL BE PLACED OR WILL TRIGGER; THAT LEADERBOARD DATA, STATISTICS, SCORES, OR SIMULATED PERFORMANCE FIGURES WILL BE ACCURATE, COMPLETE, OR CURRENT; OR THAT USING THE SERVICE WILL BE PROFITABLE OR WILL AVOID LOSS.

No advice or information obtained from us creates any warranty not expressly stated here.

17. Limitation of Liability

To the maximum extent permitted by law, Kopyon is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, opportunity, or data, arising from or relating to your use of the service, whether in contract, tort, or otherwise, even if we were advised such damages were possible.

In particular, we are not liable for trading losses. This includes losses from copied trades, from trades not copied, from delayed, partial, oversized, undersized, or failed orders, from protective orders that were not placed or did not trigger, from limits described in section 7 that are not enforced, from liquidation, from exchange downtime or exchange decisions, from inaccurate leaderboard data or statistics, or from the conduct of any trader you chose to follow.

Our total aggregate liability for all claims relating to the service is limited to the greater of the total subscription fees you paid us in the 12 months before the event giving rise to the claim, or USD $100.

These limits reflect a deliberate allocation of risk. Kopyon is priced as a software subscription, not as a product that assumes your market risk, and we could not offer it at that price on any other basis.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions our liability is limited to the maximum extent permitted by law, and the exclusions above may not apply to you. Nothing in these Terms excludes liability for fraud, for fraudulent misrepresentation, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be excluded.

18. Indemnity

You agree to indemnify and hold Kopyon harmless from any claim, loss, liability, or expense, including reasonable legal fees, arising from your use of the service, your trading activity, your breach of these Terms, your breach of your exchange's terms, your violation of any law or sanctions regime, or your misrepresentation of your eligibility under section 3.

19. Governing Law and Disputes

If you are a consumer, the law of the country where you habitually reside governs these Terms. You may bring proceedings in your local courts. Nothing in this agreement overrides any consumer protection rights granted by your local law.

If you are not a consumer, Costa Rican law governs these Terms without regard to conflict-of-law principles. You submit to the non-exclusive jurisdiction of the courts of Costa Rica.

Before starting proceedings, please email [email protected] and give us 30 days to resolve the matter.

Claims must be brought individually. To the extent permitted by law, you agree not to bring or participate in a class, collective, or representative action against us.

Our infrastructure is hosted in Germany, which is relevant to how your personal data is processed and is addressed in the Privacy Policy. It does not otherwise change the governing law of this agreement.

20. Changes to These Terms

We may update these Terms as the service or the law changes. When we do, we will revise the "Last Updated" date at the top of this page.

For material changes (anything that meaningfully reduces your rights, increases your obligations, or changes pricing) we will give you at least 30 days' notice by email or in the application before they take effect, and where appropriate we will ask you to accept the new version. Your continued use of Kopyon after a change takes effect constitutes acceptance of the revised Terms. If you do not accept them, stop using the service and, if you wish, delete your account.

21. General

Entire agreement. These Terms, together with the Privacy Policy and Refund Policy, are the whole agreement between us about the service, and replace any earlier version, including any prior Terms you accepted.

Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary to make it enforceable, or severed, and the rest remains in force.

No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.

Assignment. You may not assign these Terms. We may assign them to a successor in connection with a transfer of the service, on notice to you.

Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control, including exchange outages, blockchain congestion, network failure, infrastructure provider failure, sanctions, and acts of government.

No third-party beneficiaries. These Terms create no rights for anyone other than you and us.

Language. These Terms are written in English. Any translation is provided for convenience, and the English version governs.
